Terms of Service

These Terms of Service (the “Terms”) govern your use of the Alternative Investing Club Investor Portal (the “Portal”), operated by Alternative Investing Club (“AIC,” “we,” “us”). By creating an account or using the Portal, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Portal.
1. Eligibility and Your Account
You must be at least 18 years old and able to form a binding contract. You agree that the information you provide — at registration and throughout the investor qualification process — is accurate and complete, and that you will keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
2. Two Levels of Access
A registered account lets you view summary information about investment opportunities, use the modeling tools, and express interest in offerings. Participating in an offering — including committing capital and accessing complete offering materials — requires completion of our investor qualification process, including verification of your accredited investor status, identity, and related information. We review each qualification individually and may approve, request additional information, or decline at our discretion. Approval of a qualification is not a commitment by us to accept any investment.
3. No Offer; Securities Disclosures
Nothing on the Portal is an offer to sell, or a solicitation of an offer to buy, any security. Any offer is made only through the definitive offering documents for a particular investment — such as a private placement memorandum, operating agreement, and subscription agreement — and only to persons who meet the qualification requirements described in those documents.
Interests offered through the Portal are typically not registered under the Securities Act of 1933 and are offered in reliance on exemptions from registration. They are illiquid, are subject to substantial restrictions on transfer, involve a high degree of risk, and may result in the loss of your entire investment. Past performance does not guarantee future results. In the event of any conflict between Portal content and an investment’s offering documents, the offering documents control.
4. Your Investor Representations
The certifications you make during qualification — including your accredited investor status, the accuracy of your identity documents, your beneficial ownership disclosures, and your tax certifications — are relied upon by us and by the issuers of the investments offered through the Portal. Providing false or misleading information is grounds for immediate termination of your access and may carry legal consequences.
5. Modeling Tools
The Portal includes financial modeling tools that generate projections from assumptions you or we supply. All outputs are hypothetical, are not predictions or guarantees of performance, and are not investment, legal, accounting, or tax advice. Sponsor-published models reflect the sponsor’s assumptions as of their date and may not be updated. You are solely responsible for your investment decisions, and we encourage you to consult your own advisers.
6. Confidentiality of Offering Materials
Offering documents, financial reports, and other materials made available to you through the Portal’s document vault are confidential. You may use them solely to evaluate and administer your own investment and may not redistribute them or use them for any other purpose without our written consent.
7. Electronic Communications and Signatures
You consent to receive communications, notices, statements, and tax documents electronically through the Portal and by email. You agree that acknowledgments and signatures you provide electronically through the Portal — including typed-name signatures recorded with a timestamp — have the same force as handwritten signatures.
8. Capital Calls and Distributions
The Portal displays capital calls, contributions, and distributions as a convenience. The terms of your obligations to fund capital and your entitlement to distributions are governed exclusively by the offering and fund documents you execute, not by these Terms or the Portal’s presentation of them.
9. Acceptable Use
You agree not to:
- Share your credentials or grant others access to your account;
- Scrape, harvest, or systematically download Portal content or data;
- Probe, bypass, or interfere with the Portal’s security or access controls;
- Upload malicious code or content you lack the right to provide;
- Use the Portal in violation of any law or for the benefit of any sanctioned person.
10. Intellectual Property
The Portal, including its software, design, and content (other than your own information and documents), is owned by AIC or its licensors. We grant you a limited, revocable, non-transferable license to use the Portal for its intended purpose. You retain ownership of the documents and information you submit and grant us the license needed to store and process them to provide the service.
11. Disclaimers and Limitation of Liability
The Portal is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, AIC and its members, managers, officers, and agents will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data, arising from your use of the Portal; and our total liability for any claim arising from the Portal will not exceed one hundred dollars ($100). Nothing in these Terms limits liabilities that cannot be limited under applicable law, including liabilities arising under the federal securities laws.
12. Indemnification
You agree to indemnify and hold harmless AIC from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of law, or the inaccuracy of the information or certifications you provide.
13. Suspension and Termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, legal or regulatory requirements, or security reasons. You may stop using the Portal at any time; provisions that by their nature should survive (including Sections 3–8 and 10–15) survive termination. Records we are required to retain by law are kept per our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, and any dispute arising from them is subject to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming. This section does not limit any rights you may have under the federal securities laws.
15. Changes and Contact
We may revise these Terms from time to time; material changes will be posted here with a new effective date, and continued use of the Portal after a change constitutes acceptance. Questions about these Terms: daniel@alternativeinvestingclub.com.
